END USER LICENSE AGREEMENT (EULA) VaultDesk – Windows Credential Manager Last Updated: 2026 This End User License Agreement ("Agreement") is a legal agreement between you ("User", "You") and Avinash Parashar ("Developer", "Licensor") for the use of the software application VaultDesk – Windows Credential Manager ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software. --- 1. LICENSE GRANT The Developer grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on compatible devices for personal or commercial use, subject to the terms of this Agreement. --- 2. OWNERSHIP The Software is licensed, not sold. All rights, title, and interest in and to the Software, including all intellectual property rights, remain the exclusive property of the Developer. --- 3. PERMITTED USE You may use the Software to: • Store and manage credentials securely (Email, Banking, Accounts, etc.) • Encrypt and protect sensitive data locally • Create and restore encrypted backups • Manage user authentication, passwords, and recovery PINs All usage must comply with applicable laws and regulations. --- 4. RESTRICTIONS You agree not to: • Reverse engineer, decompile, or disassemble the Software • Modify, adapt, or create derivative works • Distribute, sublicense, lease, rent, or resell the Software • Attempt to bypass security, encryption, or authentication mechanisms • Use the Software for unlawful, harmful, or abusive purposes Any unauthorized use will result in termination of this license. --- 5. SECURITY RESPONSIBILITY The Software provides encryption and security mechanisms to protect your data. You acknowledge and agree that: • You are responsible for maintaining your master password and recovery PIN • Loss of credentials may result in permanent loss of access to stored data • The Developer cannot recover your encrypted data without your credentials • You must ensure your system is secure and not compromised --- 6. BACKUP & DATA RESPONSIBILITY The Software provides manual and automatic backup features. You acknowledge that: • You are responsible for maintaining backups of your data • Backups are stored locally unless you move them elsewhere • Restoring backups may overwrite existing data • The Developer is not responsible for data loss due to misuse, corruption, or failure to maintain backups --- 7. LOCAL PROCESSING & PRIVACY The Software operates entirely on the user’s device. • No personal data is collected, transmitted, or shared • All credentials and backups remain on your local system • Encryption is applied before storage Refer to the Privacy Policy for additional details. --- 8. SYSTEM & DEVICE RESPONSIBILITY You acknowledge that: • The Software uses system storage and memory for secure operations • You are responsible for maintaining device security (antivirus, OS updates, etc.) • The Developer is not responsible for system failures, unauthorized access, or malware affecting your device --- 9. NO WARRANTY THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Developer does not guarantee that the Software will be error-free, uninterrupted, or compatible with all systems. --- 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: • DATA LOSS • UNAUTHORIZED ACCESS • SECURITY BREACHES DUE TO USER NEGLIGENCE • SYSTEM FAILURE • LOSS OF PROFITS OR PRODUCTIVITY EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The total liability of the Developer shall not exceed the amount paid (if any) for the Software. --- 11. TERMINATION This Agreement is effective until terminated. The Developer may terminate this Agreement if you violate any terms. Upon termination, you must cease all use of the Software and uninstall it. --- 12. UPDATES & MODIFICATIONS The Developer may provide updates, patches, or enhancements at any time. Updates may: • Improve security • Modify features • Fix bugs Continued use of the Software after updates constitutes acceptance of such changes. --- 13. SUPPORT Support may be provided at the Developer’s discretion. Additional services, custom features, or integrations may be subject to separate agreements or fees. --- 14. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of India. --- 15. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and the Developer regarding the Software and supersedes all prior agreements. --- 16.
